Definitions
Buyer: A user who seeks to procure services from Providers through the Outsourcing Center platform.
Provider: A user who offers and provides services to Buyers through the Outsourcing Center platform.
Limitations of Use
By using this website, you warrant on behalf of yourself, your users, and other parties you represent that you will not:
modify, copy, prepare derivative works of, decompile, or reverse engineer any materials and software contained on this website;
remove any copyright or other proprietary notations from any materials and software on this website;
transfer the materials to another person or "mirror" the materials on any other server;
knowingly or negligently use this website or any of its associated services in a way that abuses or disrupts our networks or any other service Outsourcing Center provides;
use this website or its associated services to transmit or publish any harassing, indecent, obscene, fraudulent, or unlawful material;
use this website or its associated services in violation of any applicable laws or regulations;
use this website in conjunction with sending unauthorized advertising or spam;

Intellectual Property
The intellectual property in the materials contained in this website are owned by or licensed to Outsourcing Center and are protected by applicable copyright and trademark law. We grant our users permission to download one copy of the materials for personal, non-commercial transitory use. This constitutes the grant of a license, not a transfer of title. This license shall automatically terminate if you violate any of these restrictions or the Terms of Service, and may be terminated by Outsourcing Center at any time.
Payment Terms for Providers
Subscription Fees: Providers must pay the agreed subscription fees according to the level of service they have purchased. Payment terms, including due dates and accepted payment methods, will be outlined in the Provider’s subscription agreement.
Transaction Fees for Providers utilizing Outsourcing Center’s free listing service: Providers utilizing the free service are required to pay a transaction fee equivalent to 10% of the total contract value for any contracts closed with Buyers introduced by Outsourcing Center. This fee is due upon the execution of the contract between the Buyer and Provider and must be paid within 30 days of receipt of the first payment from the Buyer.
Late Payment Penalties: In the event of late payment, Providers will be subject to a late fee of 1.5% per month on the outstanding balance, or the maximum amount permitted by law, whichever is less.
Payment Disputes: Any disputes regarding payments must be submitted in writing within 30 days of the invoice date. Outsourcing Center will review and respond to disputes within 15 business days. Disputed amounts may be withheld until resolution, but all undisputed amounts must be paid by the due date.
Payment Methods: Payments can be made via credit card, bank transfer, or other methods as specified in the subscription agreement. Providers are responsible for any fees associated with their chosen payment method.
Invoice and Payment Records: Outsourcing Center will provide invoices for all charges. Providers are responsible for maintaining accurate billing information and updating Outsourcing Center of any changes.
Termination and Refunds: In the event of termination of services, any outstanding fees will become immediately due and payable. Refunds for prepaid services are not available unless otherwise stated in the subscription agreement.
Contract Reporting: Providers must report the closure of any contracts with Buyers introduced by Outsourcing Center within 10 days of contract signing. Failure to report may result in additional penalties.
By using the services of Outsourcing Center, Providers agree to these Payment Terms in addition to the general Terms of Service.
User-Generated Content
You retain your intellectual property ownership rights over content you submit to us for publication on our website. We will never claim ownership of your content, but we do require a license from you in order to use it.
When you use our website or its associated services to post, upload, share, or otherwise transmit content covered by intellectual property rights, you grant to us a non-exclusive, royalty-free, transferable, sub-licensable, worldwide license to use, distribute, modify, run, copy, publicly display, translate, or otherwise create derivative works of your content in a manner that is consistent with your privacy preferences and our Privacy Policy.
